Terms and Conditions of Use

1. Acceptance of Terms

By accessing or using Activation Pulse (the “Service”), owned and operated by Guiding Star Communications and Consulting Inc. (“Guiding Star,” “we,” “us”), you agree to be bound by these Terms and Conditions.

If you are using the Service on behalf of an employer or organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Eligibility & Account Security

You must be at least 16 years of age to use the Service. You are responsible for maintaining the confidentiality of your login credentials and all activity conducted under your account. You agree to notify us immediately of any unauthorized use. You agree to provide accurate and complete information during registration.

3. User Roles & Data Access

Participants complete reflection activities. Your responses will be used to generate aggregate insights. Your name may be visible to your sponsoring organization. Your individual responses and comments will not be shared in raw form with your organization by default.

Managers / Administrators may invite participants, monitor completion status, and view aggregate reports. They do not have access to individual participant responses unless explicitly configured otherwise.

Account Owners are responsible for billing and administration, including purchasing and managing usage cycles.

4. Acceptable Use

You agree not to use the Service to submit defamatory, abusive, or intentionally misleading content; impersonate another person; attempt to access unauthorized areas; probe or test system vulnerabilities; use automated tools to scrape or overload the platform; or reverse-engineer the platform's reflection structures, reporting models, or analytics logic.

5. Intellectual Property

Guiding Star retains all rights to the Activation Pulse name and branding, reflection frameworks and question structures, reporting models, and underlying analytics and platform logic. You retain ownership of the content you submit. By submitting responses, you grant Guiding Star a perpetual, royalty-free, non-exclusive license to use your data in anonymized and aggregated form.

6. Billing, Payments, and Usage

Activation Pulse is sold in usage-based cycles. Payments are processed through third-party providers (e.g., Stripe). A cycle is considered “used” when a campaign is activated and participant invitations are issued. Additional charges may apply if participant counts exceed the included limit. All fees are generally non-refundable once a cycle has been activated.

7. Disclaimers & Limitation of Liability

The Service is provided “as is” without warranties of any kind. We do not guarantee specific learning outcomes, behavioral change, or organizational improvements. Activation Pulse does not constitute legal, psychological, medical, or HR advice. Guiding Star's total liability shall not exceed the total amount paid by you in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Guiding Star from any claims arising from your violation of these Terms, misuse of the Service, or submission of unlawful content.

9. Privacy and Data Handling

Your use of the Service is also governed by our Privacy & Cookie Policy.

10. Termination

Guiding Star reserves the right to suspend or terminate access if you violate these Terms, if payment obligations are not met, or if your organization's agreement ends.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved through final and binding arbitration in Ontario, Canada.

12. Severability

If any provision is found invalid, the remaining provisions shall continue in full force and effect.
